These Terms of Service ("Terms") are an agreement between you and Meier Made, LLC ("Meier Made," "we," "us," or "our"). By accessing or using our website, applications, integrations, or online services (collectively, the "Services"), you agree to these Terms.
The Services
Meier Made provides technical consulting, software development, data engineering, financial modeling, AI-agent messaging, infrastructure, and integrations with advertising and other third-party platforms. Features and availability may change as we improve the Services or as third-party platforms change their APIs, permissions, or policies.
Eligibility and Authority
You must be legally able to enter into these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization and to authorize access to the accounts and data you connect.
Accounts and Authorized Access
You are responsible for safeguarding your accounts, access tokens, and devices and for promptly notifying us of suspected unauthorized use. You may connect only accounts and data that you are authorized to access. You must keep authorization and account information accurate and current.
Agent Messaging
Meier Made AI-agent phone numbers are available only to people Meier Made explicitly authorizes. An authorized person opts in by initiating an SMS or MMS conversation from their own phone after receiving the number and messaging disclosures directly from Meier Made. Each person chooses for themself, and every participant in a group conversation must be separately authorized and choose to participate.
Agent messages may include replies, questions, requested task or scheduling updates, blocked-work notices, completion reports, and relevant direct or group-MMS responses. The program does not send marketing, lead-generation messages, promotions, bulk broadcasts, or cold outreach. Message frequency varies, message and data rates may apply, and consent is not a condition of purchase. Reply STOP to opt out and HELP for help. The Messaging Terms provide complete program details.
AI-generated responses may be incomplete or incorrect. Do not rely on an agent for emergency, legal, medical, financial, or other professional advice, and do not send passwords, payment details, private keys, or one-time security codes by SMS.
Third-Party Platforms
Some Services interact with third-party platforms such as TikTok, Meta, Amazon, Google, cloud providers, and data warehouses. Your use of those platforms remains subject to their own agreements and policies. Meier Made does not control and is not responsible for a platform’s availability, data, decisions, policy changes, API changes, account restrictions, or acts and omissions.
You authorize us to send requests and process data through connected platforms only as needed to provide the Services. You may revoke platform authorization through the platform or by contacting us, although doing so may prevent the integration from operating.
Acceptable Use
You may not use the Services to:
- Break the law, violate third-party rights, or breach a platform agreement;
- Access accounts, credentials, advertising data, or systems without authorization;
- Sell, disclose, reidentify, or use platform data in a prohibited manner;
- Introduce malware, interfere with security, probe for vulnerabilities without permission, or disrupt the Services;
- Misrepresent identity, authority, campaign results, or the source or permitted use of data; or
- Reverse engineer or circumvent technical limits except where applicable law expressly permits it.
Customer Agreements
Consulting engagements, paid integrations, custom software, service levels, fees, data-processing obligations, and other commercial work may be governed by a separate master services agreement, statement of work, order form, data processing agreement, or similar written agreement (a "Customer Agreement"). If a Customer Agreement conflicts with these Terms, the Customer Agreement controls for that engagement.
Intellectual Property
Meier Made and its licensors retain rights in the Services, website, software, documentation, designs, and other materials we provide, except for rights expressly granted in a Customer Agreement. You retain rights in your data and materials. You grant us the limited rights necessary to process them and provide the Services.
Privacy
Our Privacy Policy explains how we handle personal and platform data. By using the Services, you acknowledge those practices.
Confidentiality
Confidentiality obligations for consulting and customer data are governed by the applicable Customer Agreement. If no Customer Agreement applies, each party will use reasonable care to protect non-public information identified as confidential or that reasonably should be understood as confidential and will use it only for the relationship contemplated by the Services.
Disclaimers
To the maximum extent permitted by law, the generally available Services are provided “as is” and “as available.” Meier Made disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted availability or that third-party platform data will be complete, accurate, or unchanged. Any warranties in a Customer Agreement remain unaffected.
Limitation of Liability
To the maximum extent permitted by law, Meier Made will not be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising from generally available Services under these Terms will not exceed one hundred U.S. dollars. Different limits may apply under a Customer Agreement or where law does not allow these limitations.
Suspension and Termination
You may stop using the generally available Services at any time. We may suspend or terminate access if reasonably necessary to protect the Services, comply with law or platform requirements, address nonpayment under a Customer Agreement, or respond to a material breach. Provisions that by their nature should survive termination will survive.
Changes
We may update these Terms by posting a revised version and changing the effective date. Material changes will apply prospectively. Continued use after the effective date constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts with jurisdiction over Delaware will have exclusive jurisdiction, except where applicable law provides otherwise or a Customer Agreement specifies another forum.
